Agreement to Terms

By accessing or using Down ("the App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the App.

Eligibility

You must be at least 18 years old to use Down. By using the App, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations

Account Registration

To use certain features of the App, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

User Conduct

You agree not to:

• Use the App for any illegal purpose or in violation of any laws
• Harass, abuse, or harm other users
• Post false, misleading, or fraudulent information
• Impersonate any person or entity
• Interfere with or disrupt the App or servers
• Use automated systems to access the App without permission
• Collect or store personal data about other users without consent

Event Listings and RSVPs

When using Down to discover or create events:

• Event information is provided for informational purposes only
• We are not responsible for the accuracy of event details provided by third parties
• RSVPing to an event does not guarantee entry or ticket availability
• You are responsible for verifying event details and ticket availability
• We are not liable for events that are cancelled, postponed, or modified

Third-Party Ticket Purchases

Down may link to ticketing or event platforms operated by third parties. When you purchase tickets outside our app:

• The transaction is between you and that platform, not Down
• Down is not a party to those ticket sales and does not earn revenue from them
• We are not responsible for ticket delivery, refunds, or customer service on third-party sites
• All ticket purchases are subject to the platform's terms and conditions

Subscriptions & In-App Purchases

Down offers optional auto-renewable subscriptions ("Down Pro") that provide access to premium features. By subscribing, you agree to the following:

• Payment is charged to your Apple ID or Google Play account at confirmation of purchase
• Subscriptions automatically renew at the end of each billing period (weekly, monthly, 3-month, 6-month, or annual) unless cancelled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price
• You can manage or cancel your subscription at any time through your device settings: on iOS, go to Settings → your name → Subscriptions; on Android, go to Google Play Store → Subscriptions
• No refunds are provided for the unused portion of a subscription period, except as required by applicable law
• Free trial periods, if offered, are forfeited when you purchase a subscription
• Prices may vary by region and are displayed in your local currency at the time of purchase

Deleting your Down account does not automatically cancel your subscription. You must cancel your subscription through your device settings to stop future charges.

Tracking Technologies and Consent

Down uses tracking technologies described in our Privacy Policy to support core app functionality and optional analytics.

• By using the App, you acknowledge and agree to this tracking as described in our Privacy Policy
• Optional analytics preferences can be changed anytime in Security & Privacy settings
• Essential authentication and security-related technologies may still be required for the App to function

User-Generated Content

You retain ownership of content you post on Down, but you grant us a license to:

• Use, display, and distribute your content within the App
• Modify your content as necessary to provide our services
• Use your content for promotional purposes (with attribution)

You are solely responsible for your content and represent that you have all necessary rights to post it.

Intellectual Property

The App, including its design, features, and content, is owned by Down and protected by intellectual property laws. You may not:

• Copy, modify, or create derivative works of the App
• Reverse engineer or attempt to extract source code
• Use our trademarks, logos, or branding without permission

Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. We do not warrant that:

• The App will be uninterrupted or error-free
• Event information is accurate or up-to-date
• The App will meet your specific requirements

We are not responsible for the conduct of users or third-party event organizers.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOWN SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, or consequential damages
• Loss of data, profits, or business opportunities
• Personal injury or property damage resulting from events or user interactions
• Issues with third-party services or ticketing platforms

Indemnification

You agree to indemnify and hold Down harmless from any claims, damages, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of another user or third party
• Content you post on the App

Termination

We may suspend or terminate your account at any time for:

• Violation of these Terms
• Fraudulent or illegal activity
• Any reason we deem necessary to protect the App or other users

You may delete your account at any time via Settings → Delete Account. We will remove or anonymize your data as described in our Privacy Policy. Deletion is permanent.

Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes through the App or via email. Continued use of the App after changes constitutes acceptance of the new Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Down operates, without regard to conflict of law principles.
